Terms of Service

These Terms of Service ("Terms") govern your use of the Scylla platform at app.scylla.finance, operated by 993 Cooper LLC, a Tennessee limited liability company ("we," "us," "our"). By creating an account or using the Service, you agree to these Terms.
Scylla is an informational tool for organizing and viewing your financial data. It does not provide financial advice, investment advice, tax advice, legal advice, or any other form of professional advisory services. 993 Cooper LLC is not a registered investment advisor, broker-dealer, tax preparer, CPA, or financial planner. You should consult qualified professionals before making financial decisions. We are not responsible for any actions you take based on information displayed in Scylla.
1. Acceptance of Terms
By accessing or using Scylla, you confirm that you are at least 18 years old and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
Scylla is currently in private beta. Access is by invitation only and may be revoked at any time at our sole discretion.
2. Account Registration
To use Scylla, you must receive an invitation and create an account. When registering, you agree to:
- Provide accurate, current, and complete information.
- Create a password of at least 16 characters.
- Enroll in time-based one-time password (TOTP) multi-factor authentication before accessing the application.
- Keep your credentials confidential and not share your account with anyone.
- Notify us promptly if you suspect unauthorized access to your account.
You are responsible for all activity under your account. We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe have been compromised.
3. Acceptable Use
Scylla is intended solely for personal and business financial management. You agree not to:
- Resell, sublicense, or provide access to the Service to any third party.
- Scrape, crawl, or use automated tools to extract data from the Service (other than through provided export features).
- Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
- Use the Service to store, transmit, or process data that you do not have the legal right to use.
- Probe, scan, or test the vulnerability of the Service or circumvent any security measures.
- Use the Service for any purpose that violates applicable law.
4. No Financial Advice
The Service displays financial data for informational purposes only. Nothing in Scylla constitutes financial advice, investment advice, tax advice, legal advice, accounting advice, or any recommendation to buy, sell, hold, or take any action regarding financial instruments, real estate, or any other asset.
993 Cooper LLC is not a registered investment advisor, broker-dealer, financial planner, tax preparer, certified public accountant, or licensed financial professional of any kind. We do not evaluate the suitability of any financial decision for you.
Dashboards, charts, projections, budgets, goals, and any calculations displayed within Scylla are generated automatically from your data and may contain errors, omissions, or be based on incomplete information. You should independently verify all data and consult with qualified professionals (financial advisor, CPA, attorney) before making financial decisions.
To the fullest extent permitted by law, we disclaim all liability for any actions you take, or fail to take, based on information presented in Scylla.
5. Intellectual Property
The Service, including its design, code, features, documentation, and the Scylla name and logo, is the property of 993 Cooper LLC and is protected by applicable intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during the term of your account.
Your financial data remains yours. We claim no ownership of the data you import into or create within Scylla.
6. Data & Privacy
Your use of Scylla is also governed by our Privacy Policy, which describes what data we collect, how we use it, and your rights regarding that data. By using the Service, you consent to the practices described in the Privacy Policy.
7. Third-Party Services
Scylla integrates with third-party services, including Plaid for bank account connections. Your use of these services is subject to their own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.
When you connect a bank account through Plaid, you authorize Plaid to access your financial institution data on your behalf subject to Plaid's Terms of Service and Plaid's Privacy Policy.
8. Service Availability
Scylla is provided on a best-effort basis during the private beta period. We do not guarantee any specific level of uptime, availability, or performance. We may modify, suspend, or discontinue any part of the Service at any time without notice.
We may perform maintenance, deploy updates, or make changes that temporarily interrupt access. We will make reasonable efforts to minimize disruption but provide no service level agreement (SLA).
9. Limitation of Liability
To the maximum extent permitted by applicable law:
- The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
- In no event shall 993 Cooper LLC, its members, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service.
- Our total aggregate liability for all claims arising from or related to the Service shall not exceed $100 USD.
- We are not liable for any errors, inaccuracies, or omissions in the financial data displayed, or for any decisions you make based on that data.
10. Indemnification
You agree to indemnify, defend, and hold harmless 993 Cooper LLC and its members, officers, employees, and agents from any claims, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
11. Termination
We may suspend or terminate your account at any time, for any reason, with or without notice. Reasons for termination may include violation of these Terms, extended inactivity, or discontinuation of the beta program.
You may request deletion of your account and associated data at any time by contacting us at support@scylla.finance. Upon receiving a deletion request, we will remove your account and personal data within 30 days, subject to any legal retention obligations.
Sections 4 (No Financial Advice), 5 (Intellectual Property), 9 (Limitation of Liability), 10 (Indemnification), and 12 (Governing Law) survive termination.
12. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Tennessee, without regard to its conflict of law provisions. Any disputes arising under or in connection with these Terms shall be resolved exclusively in the state or federal courts located in Shelby County, Tennessee.
13. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will notify you via the email address associated with your account at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes acceptance of the updated Terms.
